Terms of Service
These Terms govern your use of turingdna.com and the directed-evolution engine operated by TuringDNA ("TuringDNA", "we", "us"). They are written to be read. If something is unclear, write to info@turingdna.com and we will fix the language.
Acceptance
By using turingdna.com, the directed-evolution engine, the synthesis ordering features (when available), our APIs, or any other product or service we make available (together, the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and legally able to form a binding contract. The Service is not intended for minors. If you accept these Terms on behalf of an organization, you represent you are authorized to bind it, and "you" includes that organization.
What the Service does
The Service is a computational protein-engineering tool that:
- Accepts a wild-type protein sequence (FASTA, GenBank, SnapGene, or raw input).
- Scores position-by-substitution variants using ESM-2 protein language models and assembles optimized variant combinations via simulated annealing.
- Returns codon-optimized DNA, primer pairs, suggested PCR conditions, and related design artifacts.
- (When available) Lets you order synthesized DNA through participating third-party vendors — the "Marketplace", see §7.
The Service is for research and discovery purposes only. See §12.
Engine outputs are computational predictions
Engine outputs — variant rankings, predicted-fitness scores, codon-optimized DNA, primer pairs, PCR conditions — are statistical predictions generated by machine-learning models trained on public protein-sequence data. They are not experimental measurements of function, expression, stability, or activity. You must independently verify any sequence experimentally before relying on it for any purpose. We make no representation that any designed variant will express, fold, exhibit any predicted property, or be free of off-target effects.
Accounts
To use certain features (including the Marketplace), you must create an account. You agree to:
- Provide accurate, current, complete information and keep it up to date.
- Keep your credentials confidential and not share your account.
- Notify us promptly at info@turingdna.com of any unauthorized use.
- Be responsible for all activity under your account.
We may suspend or terminate accounts that violate these Terms, that we reasonably believe pose a security or compliance risk, or that have been inactive for an extended period (we will send notice before deleting an inactive account).
Acceptable Use
You agree not to, and not to assist anyone else to:
- Design, order, request, or attempt to synthesize any sequence encoding (in whole or substantially in part) a select agent or toxin listed under 7 CFR Part 331, 9 CFR Part 121, 42 CFR Part 73, the Australia Group control lists, the U.S. HHS Screening Framework Guidance, or comparable laws of your jurisdiction; any pathogen of pandemic potential; any gain-of-function modification of a pathogen; any sequence on a vendor's screening blocklist; or any sequence intended for use as a biological weapon.
- Use the Service for any clinical, diagnostic, therapeutic, prophylactic, food, feed, or cosmetic purpose, or in any product intended for human or animal consumption or in vivo use.
- Use the Service to design sequences for gene drives, horizontal-transfer systems, or for environmental release, except in jurisdictions where you hold all required regulatory authorizations and have provided proof on request.
- Violate any export control or sanctions law, including the U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), Office of Foreign Assets Control (OFAC) sanctions, EU Dual-Use Regulation 2021/821, or comparable laws. You may not access the Service from, or order synthesis to, Cuba, Iran, North Korea, Syria, or the Crimea / Donetsk / Luhansk / Zaporizhzhia / Kherson regions of Ukraine, or any other country or party subject to comprehensive U.S. sanctions as updated from time to time. You may not be a person or entity on the OFAC Specially Designated Nationals list, the U.S. Commerce Department Entity List, or any equivalent restricted-party list.
- Reverse engineer, decompile, scrape (other than via published APIs under their terms), or attempt to derive source code, model weights, or training data.
- Use the Service to train a competing protein language model, foundation model, or directed-evolution system, including by extracting model outputs at scale for that purpose.
- Interfere with, overload, or disrupt the Service or attempt to gain unauthorized access to any system or data.
- Misrepresent your identity, affiliation, or authority, or use another person's account.
- Use the Service in any way that violates applicable law in your jurisdiction or the jurisdiction where the synthesized DNA will be received.
We may investigate suspected violations, refuse orders, suspend access, and report violations to law enforcement, vendors, or biosecurity authorities. See Biosecurity Policy.
Your content and your sequences
You retain all rights in the protein sequences, DNA sequences, designs, and other inputs you submit ("Your Inputs") and in the design outputs the engine generates from them ("Your Outputs", together "Your Content").
You grant TuringDNA a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to operate the Service for you — including running the engine, returning results, fulfilling synthesis orders you place, and providing support.
We will not:
- Use Your Content to train, fine-tune, or improve any machine-learning model.
- Sell, license, or share Your Content with third parties except as strictly necessary to fulfill orders you place (e.g., transmitting a sequence to the synthesis vendor you select).
- Retain Your Content longer than necessary for the purposes above and as described in the Privacy Policy.
You represent and warrant that you have all rights necessary to submit Your Inputs and to grant the license in this section, and that Your Content does not infringe any third-party right (including patent rights covering specific sequences).
Feedback
If you send us suggestions, ideas, bug reports, or other feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and incorporate the Feedback into any product or service without obligation or compensation. Please do not include third-party confidential information in Feedback.
Intellectual property in the Service
The Service — the engine, models, software, designs, trademarks, and documentation — is owned by TuringDNA or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal research purposes. No other rights are granted.
"TuringDNA" and the TuringDNA logo are our marks. You may not use them without our prior written consent.
Open-source components
The Service incorporates open-source components, including the ESM-2 protein language models (MIT license, Meta AI Research) and other libraries. Those components are licensed under their respective open-source licenses, which prevail over these Terms with respect to those components only.
Copyright complaints (DMCA)
If you believe content on the Service infringes your copyright, send a notice that complies with 17 U.S.C. § 512(c) to info@turingdna.com with the subject line "DMCA Notice". Your notice must include: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its URL; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; (e) a statement under penalty of perjury that the information is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove allegedly infringing material and terminate repeat infringers' accounts.
Marketplace — DNA synthesis orders
The Marketplace is not yet live. This section describes how it will work when it ships. You can use the engine today without ordering synthesis.
Role of TuringDNA
When the Marketplace launches, TuringDNA will operate it as an authorized reseller of synthesized DNA from participating third-party vendors — initially Twist Bioscience, Integrated DNA Technologies (IDT), and GenScript (each a "Vendor"). You contract with TuringDNA for the supply of DNA; we contract with the Vendor for its manufacture and shipment to you.
Vendor manufacture and flow-down
The DNA itself is manufactured by the Vendor you select. Vendor warranties, specifications, turnaround times, shipping policies, and biosecurity flow-down obligations govern the physical product. Where a Vendor's standard terms conflict with these Terms with respect to the manufactured DNA, the Vendor's terms control as to product specifications, manufacturing tolerances, screening outcomes, and shipping. Current Vendor terms will be linked from your order confirmation and incorporated by reference when you place an order. You agree to comply with any Vendor flow-down obligations applicable to your use.
Biosecurity screening
Each Vendor performs its own sequence screening under the IGSC Harmonized Screening Protocol or equivalent. You are responsible for ensuring your order complies with all applicable biosecurity laws (see Acceptable Use above and the Biosecurity Policy). We may decline, hold, or cancel orders at our discretion, including based on Vendor screening results or our own review, without liability. We may share order details with biosecurity authorities where reporting is required by law or by a Vendor agreement.
Orders, pricing, and payment
- Prices are shown at checkout in U.S. dollars unless stated otherwise and are inclusive of TuringDNA's margin and the Vendor cost. Prices may change at any time before you place an order; once we send an order confirmation, the price stated in that confirmation is binding except where the order is cancelled.
- An order is accepted only when we (or the Vendor) send you a confirmation. We may decline any order.
- Payment will be processed by our payment processor named at checkout. By placing an order you authorize the charge.
- You are responsible for applicable taxes, duties, customs fees, and import requirements.
Shipping, title, and risk of loss
- Shipping is performed by the Vendor or its designated courier. Estimated delivery times are not guaranteed.
- For business users: title and risk of loss pass on delivery to the carrier (FCA Incoterms 2020 at the Vendor's facility), unless a Vendor's terms specify otherwise (in which case the Vendor's terms control).
- For consumer users in jurisdictions whose mandatory law provides otherwise (e.g., EU Consumer Rights Directive, UK Consumer Rights Act, California Civil Code), risk of loss passes on delivery to you. Nothing in this section limits your non-waivable consumer rights.
- You are responsible for receiving and storing the DNA appropriately and for customs clearance in your country.
Returns, refunds, and cancellations
- Custom-synthesized DNA is made to your specification and is non-returnable except where the delivered product fails Vendor specification.
- If the delivered DNA fails Vendor specification, your remedy is governed by the Vendor's warranty (typically resynthesis or refund of the synthesis cost). We will use commercially reasonable efforts to pass through Vendor remedies to you.
- Orders may be cancelled before manufacture begins. Once manufacture has begun, cancellation is at the Vendor's discretion.
- EU/UK consumer withdrawal right. Custom-synthesized DNA is goods made to a consumer's specification and is excluded from the 14-day statutory right of withdrawal under EU Directive 2011/83/EU Article 16(c) and UK Consumer Contracts Regulations 2013 reg. 28(1)(b). For non-custom items (e.g., catalog kits, if any), the 14-day right applies.
Limited reseller warranty
Other than passing through Vendor warranties as described above, TuringDNA disclaims all warranties on the manufactured DNA itself, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. This disclaimer does not limit your non-waivable consumer rights under applicable law.
Third-party services
The Service may integrate with optional third-party tools (for example, NCBI BLAST and AlphaFold lookups). These run only when you explicitly opt in for a given run. Your use of those tools is governed by their own terms. We are not responsible for third-party services.
Fees and changes to the Service
The engine is currently provided free of charge. We reserve the right to introduce paid features, change pricing, or modify or discontinue features at any time, with reasonable notice for material changes affecting paid features (at least 30 days). Free features may be modified or removed without notice.
Termination
You may stop using the Service at any time and may request account deletion by emailing info@turingdna.com. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the Service, our Vendors, or other users.
Data export window. On termination by either party (other than for breach of Acceptable Use or biosecurity law), we will keep your account in a read-only state for 30 days so you can export Your Content. After that period, we will delete Your Content in accordance with the Privacy Policy retention schedule.
The sections on engine-output disclaimer, Your Content, Feedback, Intellectual Property, the Limited Reseller Warranty, Disclaimers, Research Use Only, Indemnification, Limitation of Liability, Governing Law and Venue, Changes, and Miscellaneous survive termination.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TURINGDNA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, TURINGDNA DOES NOT WARRANT THAT (A) ENGINE OUTPUTS ARE ACCURATE, FUNCTIONAL, OR FIT FOR YOUR PURPOSE; (B) DESIGNED VARIANTS WILL EXPRESS, FOLD, OR EXHIBIT INTENDED PROPERTIES; (C) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (D) SEQUENCES YOU DESIGN ARE FREE FROM THIRD-PARTY PATENT OR OTHER RIGHTS.
Beta features. Features labeled "beta", "preview", "experimental", or similar are provided for evaluation and may be modified or withdrawn at any time. They carry no service-level commitment.
Research use only
THE SERVICE AND ANY DNA ORDERED THROUGH IT ARE FOR RESEARCH USE ONLY ("RUO"). THEY ARE NOT MEDICAL DEVICES, NOT FDA-CLEARED OR APPROVED, AND ARE NOT INTENDED FOR DIAGNOSTIC, THERAPEUTIC, PROPHYLACTIC, FOOD, FEED, OR COSMETIC USE, OR FOR USE IN OR ON THE HUMAN OR ANIMAL BODY. YOU ARE SOLELY RESPONSIBLE FOR REGULATORY COMPLIANCE FOR ANY DOWNSTREAM USE.
Indemnification
You will defend, indemnify, and hold harmless TuringDNA, its officers, directors, employees, and agents from and against any third-party claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to: (a) Your Content; (b) your use of the Service or any DNA ordered through it; (c) your violation of these Terms or applicable law (including biosecurity, export, and safety law); (d) your downstream use of designed variants or synthesized DNA; and (e) any claim that Your Content infringes a third-party right.
Carve-outs. This indemnity does not apply to the extent a claim arises from (i) TuringDNA's gross negligence or willful misconduct, or (ii) TuringDNA's own infringement of a third party's intellectual property in the Service's underlying software (excluding Your Content). We will give you prompt notice of any claim, reasonable cooperation in the defense, and the right to control the defense and any settlement that does not impose obligations on you beyond payment.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURINGDNA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TURINGDNA'S TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TURINGDNA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
These limits apply in the aggregate to all claims and theories of liability and are an essential basis of the bargain.
Non-waivable rights. Nothing in this section excludes or limits liability that cannot be excluded or limited under applicable law, including (where applicable) liability for death or personal injury caused by negligence, fraud, gross negligence, willful misconduct, or breach of mandatory consumer-protection law. Where local law caps or invalidates portions of this section (for example, EU consumer law, UK Consumer Rights Act, certain U.S. state laws), our liability is limited to the maximum extent permitted by that law.
Governing law and venue
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or related to these Terms or the Service will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction and venue there.
Consumer venue carve-out. Nothing in this section deprives a consumer of the right under the law of their country of residence to bring proceedings before, or be sued in, the courts of that country (e.g., Article 18 of EU Regulation 1215/2012 (Brussels I recast)).
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you (e.g., by email or in-app notice) at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not agree to material changes, your remedy is to stop using the Service before the effective date and to request account deletion.
Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and TuringDNA regarding the Service and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the rest remain in effect; the unenforceable provision will be enforced to the maximum extent permitted by law.
- No waiver. Failure to enforce any provision is not a waiver.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets on notice to you.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control (including acts of God, war, civil unrest, internet/cloud outages, pandemics, government action, and vendor failure).
- Independent contractors. No agency, partnership, joint venture, or employment is created by these Terms.
- Notices. Notices to TuringDNA: info@turingdna.com. Notices to you: the email associated with your account. You consent to receive electronic notices.
- Headings. Section headings are for convenience and do not affect interpretation.
- English controls. These Terms are written in English; any translation is for convenience only and the English version controls in case of conflict.
